Item 2.02. Results of Operations and Financial Condition.
On October 27, 2016, Expedia, Inc. issued a press release and will hold a conference call regarding its financial results for the quarter ended September 30, 2016. A copy of the earnings release is furnished as Exhibit 99.1 hereto.
Expedia is making reference to non-GAAP financial measures in both the earnings release and the conference call. A reconciliation of these non-GAAP financial measures to the nearest comparable GAAP financial measures is contained in the attached Exhibit 99.1 press release.

Item 8.01. Other Events.
On October 27, 2016, Expedia announced that its Executive Committee, acting on behalf of its Board of Directors, has declared a quarterly cash dividend of $0.26 per share of outstanding common stock payable on December 8, 2016 to stockholders of record as of the close of business on November 17, 2016.
