into a Material Definitive Agreement
At
its
January 26, 2006 meeting, the outside directors of the Compensation Committee
for Nalco Holding Company established Adjusted EBITDA target levels for its
Management Incentive Plan and for its Profit Sharing and Savings Plan during
2006.
