** Intentional misstatements or omissions of facts constitute Federal Criminal Violations. See 18 U.S.C. 1001 and 15 U.S.C. 78ff(a).
(1) One-fourth of these Restricted Stock Units ("RSUs") vest upon each of the first four anniversaries of the grant date. Reporting Person will receive shares of Common Stock relating to vested RSUs upon leaving the Board of Directors; however, upon a change of control of the Issuer, all RSUs will vest and Reporting Person will be entitled to receive all shares relating to such vested RSUs. Additionally, all unvested RSUs will automatically vest upon termination of service from the Board of Directors (a) due to death of the Reporting Person or (b) after the Reporting Person has served continuously upon the Board of Directors for at least five years and 360 days have passed since the date of grant. The number of RSUs was determined by dividing $80,000 by $35.36, the closing price of the Issuer's Common Stock on the New York Stock Exchange on the day before the grant.
(2) These shares are held by Ancor Holdings, L.P. Mr. McKibben is a limited partner and a partial owner of the general partner of Ancor Holdings, L.P.
