Item 1.01. | Entry into a Material Definitive Agreement. |
On December 1, 2017, Platform Specialty Products Corporation (Platform) and the guarantors named therein (the Guarantors) entered into a purchase agreement (the Purchase Agreement), pursuant to which Platform agreed to sell an additional $250 million aggregate principal amount of 5.875% senior notes due 2025 at an issue price of $1,000 per $1,000 principal amount plus accrued and unpaid interest from November 24, 2017 (the New Notes) to the initial purchasers listed in the Purchase Agreement (collectively, the Initial Purchasers). The New Notes will be issued under the same indenture pursuant to which Platform issued its outstanding 5.875% senior notes due 2025 on November 24, 2017 (the Existing Notes). Accordingly, the New Notes will have the same terms as, and be fungible and form a single series with, the Existing Notes. The New Notes will be fully and unconditionally guaranteed on a senior unsecured basis by certain of Platforms existing domestic subsidiaries. Upon satisfaction of certain conditions, all of the then direct and indirect domestic subsidiaries constituting Platforms Agricultural Solutions business may be released from their guarantees of the New Notes.
The New Notes offering is expected to close on December 8, 2017, subject to customary closing conditions.
The Purchase Agreement contains customary representations, warranties and agreements of Platform and the Guarantors, and customary conditions to closing, obligations of the parties and termination provisions. Additionally, Platform has agreed to indemnify the Initial Purchasers against certain liabilities, including liabilities under the Securities Act of 1933, as amended (the Securities Act).

Certain of the Initial Purchasers and certain of their respective affiliates have, from time to time, provided, and may in the future provide, investment banking, commercial banking and financial advisory services to Platform and its affiliates, for which they have received customary compensation. The Initial Purchasers and their respective affiliates may effect transactions for their own account or the account of customers, and hold on behalf of themselves or their customers, long or short positions in Platforms debt securities or loans, and may do so in the future.

On December 1, 2017, Platform issued a press release announcing its intent, subject to market and other customary conditions, to offer an additional $200 million aggregate principal amount of New Notes in a private offering to qualified institutional buyers pursuant to Rule 144A under the Securities Act, and to non-U.S. persons in accordance with Regulation S under the Securities Act. A copy of this press release is filed with this report as Exhibit 99.1 and is incorporated herein by reference.
On December 1, 2017, Platform also issued a press release announcing that it had priced the New Notes offering and increased the offering amount to $250 million from $200 million. A copy of this press release is filed with this report as Exhibit 99.2 and is incorporated herein by reference.
