PART III NARRATIVE
State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
Accretive Health, Inc. (the Company) is delaying the filing of the Form 10-Q for its fiscal first quarter ended March 31, 2013 (the Q1 2013 Form 10-Q).
As previously announced on March 4, 2013, the Audit Committee of the Board of Directors (the Audit Committee) determined that the Company will restate its financial statements. The Audit Committee made this determination following consultation with and upon the recommendation of management and following consultation with Ernst & Young LLP.
The Company has concluded that the timing of revenue recognition under certain managed service contracts was incorrect. Accordingly, the Company will revise its financial statements to correct these errors. The Company believes, based on information available to date, that the restatement will have no impact on total revenue recognized over the life of each managed service contract that is currently in effect and managed service contracts discontinued prior to 2012. The Company is still evaluating the impact, if any, of the restatement on total revenue recognized over the life of managed service contracts that were discontinued in 2012; however, the Company believes, based on information available to date, that due to changes in timing of revenue recognition, certain amounts of bad debt expense related to such contracts may instead be accounted for as reduced revenue after restatement. Furthermore, the Company believes, based on information available to date, that the restatement will (1) have no impact on the timing or magnitude of cash flows from operations, (2) reflect deferred timing of revenue recognition leading to an increase in deferred revenue or other liabilities reported in prior periods, and (3) lead to increases in revenue recognized in future periods.
Because the Company is in the process of restating its financial statements as described above, the Company has not been able to complete its financial statements for the quarter ended March 31, 2013.
The Company is committed to resolving the issues that gave rise to the restatement process and regaining compliance with all SEC filing requirements (including the filing of the Annual Report on Form 10-K for the year ended December 31, 2012, and the Q1 2013 Form 10-Q) and all NYSE listing requirements, as soon as possible.

As discussed in the Companys press release filed with the SEC on February 26, 2013, the Company has been evaluating the manner in which it recognizes revenue for its revenue cycle management agreements. As described above, on March 4, 2013, the Audit Committee determined that the Company will restate its financial statements. The Company is currently evaluating the impact of such restatement on its results of operations and financial position.
The Company believes, based on information available to date, that the restatement will have no impact on total revenue recognized over the life of each managed service contract that is currently in effect and managed service contracts discontinued prior to 2012. The Company is still evaluating the impact, if any, of the restatement on total revenue recognized over the life of managed service contracts that were discontinued in 2012, as described above.
