(b) Resignation of Director.

On October 16, 2007, Motive, Inc. (the “Company”) received a letter, dated October 9, 2007, wherein Mr. Harvey P. White resigned as a member of the Company’s board of directors, effective immediately. Mr. White has not advised the Company of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
