Item 7.01 Regulation FD Disclosure

On July 23, 2007, Inter-Tel (Delaware), Incorporated issued a press release announcing that the Company does not expect to achieve the 2007 financial results reflected in the financial projections included in its proxy statement dated May 29, 2007 relating to the proposed acquisition of Inter-Tel by Mitel Networks Corporation for $25.60 per share in cash.

The press release issued by Inter-Tel is attached as Exhibit 99.1 hereto and is incorporated into this Item 7.01 by this reference.
