(1) | Effective 1/15/10, Dr. Prem Nath will retire and resign as an employee of the Issuer. He will continue to serve in a consulting capacity. In connection with Dr. Nath's resignation, 7500 of the 15000 RSUs eligible to vest on December 31, 2009 are deemed vested. Contingent upon his continued service to, and his performance of obligations under agreements with, the Issuer, Dr. Nath also continues to hold the following unvested derivative securities: 7500 RSUs vest 7/31/10; 10000 RSUs vest 12/31/10; 10000 RSUs vest 6/30/11; options to purchase 12500 shares vest 1/1/11; options to purchase 12500 shares vest 6/30/11. Dr. Nath also holds the following vested, but unexercised, securities: options to purchase 66667 shares that expire 7/31/16; options to purchase 12000 shares that expire 12/3/17; options to purchase 50000 shares that expire 12/2/18. All unvested derivative securities not listed above are forfeited by Dr. Nath in connection with his retirement. |
