(a)           Departure of Directors or Principal Officers

On September 25, 2008, Julia Eakes resigned as director of Retail Pro, Inc. (the “Company”).  Ms. Eakes was a member of the Company’s compensation committee. There were no disputes between the Company and Ms. Eakes.
